End User License Agreement (EULA)

1. Important – Legal Agreement
This End User License Agreement ("Agreement") is a binding legal agreement between you ("User", "you") and OZ MUSIC TECHNOLOGIES AB, Sweden ("OZMT", "we", "us").
By downloading, installing, activating, accessing, or using any software product made available by OZMT (the "Software"), you agree to be bound by this Agreement.
If you do not agree, do not install or use the Software.
If you are a consumer in the European Union, nothing in this Agreement limits your mandatory statutory rights.
2. Definitions
"Software" means any digital software product made available by OZMT, including but not limited to:
- Audio software, plugins, standalone applications, or related tools;
- All plugin formats (including VST, VST3, AU, AAX, or other supported formats);
- Presets, sound libraries, impulse responses, sample content, or other digital assets;
- Effects, instruments, processing algorithms, modeling technology, or DSP components;
- User interface elements and design;
- Updates, upgrades, patches, and maintenance releases;
- Documentation and support materials;
- Activation, licensing, and copy protection systems.
"Perpetual License" means a license that does not expire, subject to this Agreement.
"Trial License" means a limited, time-restricted or feature-limited license granted free of charge.
"Early Access" means a pre-release, beta, preview, or development-stage version of the Software made available prior to official commercial release.
3. License Grant
Subject to compliance with this Agreement, OZMT grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:
- Install and use the Software on devices owned or controlled by you;
- Use the Software for commercial and non-commercial purposes consistent with its intended functionality.
Unless otherwise specified at purchase:
- A single-user license permits installation on multiple personal devices;
- Simultaneous use by multiple users requires additional licenses.
The scope of functionality is defined by the version available at the time of download. During Early Access or ongoing development, OZMT may modify the Software's features or behavior, provided that the Software continues to conform to its contractual description at the time of purchase as required by applicable law.
The Software is licensed, not sold.
3A. Version Scope and Upgrades
Unless otherwise expressly stated at the time of purchase, a Perpetual License entitles you to use:
- The version of the Software available at the time of purchase; and
- All updates, improvements, and maintenance releases within the same major version number (for example, version 1.x).
A "major version" refers to a release identified by an increment to the primary version number (for example, 2.0 following 1.x).
OZMT reserves the right to designate releases as major upgrades. Major upgrades may be offered for an additional fee.
Nothing in this Section limits mandatory consumer rights under applicable law, including rights relating to conformity of digital content.
4. Free Trial License
If you download or use a Trial License:
- The Trial License is granted for the limited duration specified at download;
- It may contain functional or time limitations;
- It expires automatically unless converted to a paid license;
- No payment is required unless you choose to purchase.
OZMT reserves the right to modify or discontinue Trial offerings at any time.
4A. Early Access / Pre-Release Software
The Software may be offered as Early Access or other pre-release versions. You acknowledge and agree that:
- The Software may be incomplete and may contain bugs, errors, or performance issues;
- Features, functionality, content, processing behavior, user interface, and system requirements may change during development;
- Certain announced or previewed features may not yet be implemented at the time of purchase;
- Updates may modify, replace, or remove features as part of ongoing development;
- Projects created using Early Access versions may not be fully backward or forward compatible with later versions.
Purchasing during Early Access grants you a Perpetual License to the Software as it evolves, but does not guarantee delivery of any specific future feature unless expressly stated in writing at the time of purchase.
Public statements regarding planned features, development timelines, or product roadmaps are informational only and do not constitute binding commitments unless explicitly incorporated into the purchase terms.
Nothing in this Section limits mandatory consumer rights under applicable law.
5. Online Activation & DRM
The Software may require online activation. You acknowledge:
- Internet access may be required for activation and license validation;
- Activation servers may be necessary for license verification;
- Validation data may include IP address and device identifiers.
OZMT reserves the right to:
- Modify or replace activation systems;
- Disable licenses obtained fraudulently;
- Provide alternative activation methods if activation systems are discontinued.
Activation services will be maintained for a commercially reasonable period but are not guaranteed indefinitely. If activation servers are discontinued, a permanent offline activation mechanism will be provided.
6. Merchant of Record & Payments
Purchases may be processed by an authorized Merchant of Record. The Merchant of Record may:
- Process payments;
- Handle VAT and sales tax;
- Issue invoices;
- Manage refunds and chargebacks.
This Agreement governs your license and use of the Software with OZMT.
7. Right of Withdrawal (EU Consumers)
If you are an EU consumer, you normally have a 14-day right of withdrawal.
By consenting to immediate digital delivery and beginning download, activation, or access to the Software, you acknowledge that you lose your right of withdrawal in accordance with applicable EU consumer law.
If you have not downloaded, activated, or accessed the Software, contact support@ozmt.se within 14 days.
8. Updates and Conformity
Where required by law, OZMT will provide updates necessary to maintain conformity of the Software with the contractual description provided at the time of purchase for a reasonable period.
If the Software fails to conform, EU consumers may be entitled to:
- Repair;
- Proportionate price reduction;
- Contract termination and refund where legally justified.
Failure to install provided updates may affect conformity rights.
9. License Restrictions
Except as expressly permitted in Section 9B (License Transfers), you may not:
- Reverse engineer, decompile, or disassemble except where permitted by mandatory law;
- Circumvent copy protection;
- Share license credentials or account access;
- Rent, lease, sublicense, distribute, or commercially exploit the Software;
- Use the Software to develop competing products;
- Remove proprietary notices.
All rights not expressly granted are reserved.
9B. License Transfers (Perpetual Licenses)
(A) General Rule
Licenses are personal and non-transferable except as expressly permitted in this Section.
(B) Perpetual Licenses – EU Positioning
If you hold a fully paid, Perpetual License, you may request a transfer of your license to another natural or legal person, subject to the following conditions:
- The license must have been acquired for an unlimited duration in exchange for a one-time payment.
- The transfer must cover the entire licensed product as originally purchased (no splitting of bundles, upgrades, or components unless separately licensed).
- You must permanently uninstall and delete all copies of the Software and cease all use.
- You must not retain any backup copies.
- The transfer must be processed through OZMT's official license transfer procedure.
- Any applicable administrative transfer fee must be paid.
- The transferee must agree to this Agreement.
Upon completion of a valid transfer:
- The original license will be deactivated.
- A new license will be issued to the transferee.
- Your rights under the license will terminate automatically.
(C) Excluded License Types
The following licenses are not transferable:
- Trial Licenses
- Early Access licenses provided free of charge
- Not-for-resale (NFR) licenses
- Educational licenses
- Promotional or bundle-only licenses
- Subscription or time-limited licenses
Subscription and time-limited licenses grant access rights only and do not constitute a transfer of ownership rights capable of resale.
(D) Technical Enforcement
OZMT reserves the right to:
- Require identity verification for transfers;
- Refuse transfers that do not comply with this Section;
- Deactivate licenses where transfer conditions are breached;
- Limit the number of transfers per license to prevent abuse.
(E) Effect of EU Law
Nothing in this Agreement is intended to restrict mandatory rights arising under applicable EU law regarding exhaustion of distribution rights for perpetual software licenses.
9C. Artificial Intelligence and Machine Learning Restrictions
You may not, and may not permit any third party to:
- Use the Software, its internal processing, content, algorithms, parameter data, or interface for training, developing, or improving any artificial intelligence or machine learning system;
- Use automated tools to analyze, scrape, capture, or extract data from the Software for replication, emulation, or competitive development;
- Create structured datasets derived from systematic analysis of the Software's processing behavior for the purpose of reproducing or approximating its functionality;
- Systematically profile or benchmark the Software to develop a competing product utilizing AI, modeling, or algorithmic techniques.
This Section does not restrict your right to use content that you independently create using the Software. Nothing in this section limits rights permitted under mandatory interoperability or reverse engineering exceptions under EU law.
9D. Permitted Commercial Use
For clarity, nothing in this Agreement restricts your right to use the Software to create, produce, distribute, perform, or monetize audio, music, audiovisual works, or other content.
The restriction on "commercial exploitation" applies only to the Software itself, not to the outputs created using it.
10. Intellectual Property
All intellectual property rights in the Software, including but not limited to:
- Algorithms;
- Audio processing methods;
- Sound content and presets;
- Interface design;
- Trademarks and branding;
are owned by OZ MUSIC TECHNOLOGIES AB or its licensors. All rights not expressly granted are reserved.
11. Data Collection & Privacy
Use of the Software may involve processing of:
- Activation data;
- Device identifiers;
- IP address;
- License status;
- Anonymous usage statistics (if enabled).
No user-created project files or audio content are collected unless expressly stated.
Personal data is processed in accordance with OZMT's Privacy Policy and applicable data protection laws.
12. Export & Sanctions Compliance
You agree not to:
- Use the Software in violation of EU export regulations;
- Provide access to sanctioned persons or territories;
- Use the Software where prohibited by applicable law.
13. Disclaimer of Warranties
To the maximum extent permitted by law, the Software is provided "as is".
OZMT disclaims implied warranties including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.
This does not limit mandatory consumer rights.
14. Limitation of Liability
Nothing in this Agreement limits liability where prohibited by law.
For non-consumer use:
- Total liability shall not exceed the amount paid for the Software.
- OZMT shall not be liable for indirect, incidental, or consequential damages.
15. Termination
This Agreement terminates automatically upon material breach.
Upon termination, you must cease use and delete all copies.
Sections relating to intellectual property, AI restrictions, limitation of liability, and governing law survive termination.
16. Future Subscription Offerings
If subscription licenses are offered:
- Additional subscription terms will apply;
- Subscriptions may renew automatically unless canceled;
- Access may cease upon subscription termination.
Subscription-specific terms will be presented at purchase.
17. Governing Law
This Agreement is governed by Swedish law.
EU consumers may rely on mandatory protections in their country of residence.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
18. Entire Agreement
This Agreement constitutes the entire agreement between you and OZMT regarding the Software.
If any provision is unenforceable, the remainder remains valid.
